Hi, I’m Caroline Wiseman, the owner and creative behind Twilight Creative. These Terms & Conditions (“Terms”) explain how I work with clients and how you may use my website and services. By hiring me, signing a proposal, paying an invoice, or using my site, you agree to these Terms.

1) Who I Am

2) My Services
I provide web design, branding, and creative services. The specific details (deliverables, timeline, fees) are spelled out in your proposal or invoice (the “Agreement”). If it’s not in writing there, it’s not included.
3) Proposals & Estimates
Proposals/quotes are valid for 30 days.
Estimates are based on the scope you give me. Major changes will require an updated estimate.
4) Payments
Deposit: A non-refundable deposit of 33% is required to reserve your start date and kick off the project.
Balance: The rest is due either on agreed milestones or when I hand over the final project—whichever comes first.
Late Payments: Late invoices will incur a 1.5% monthly fee (or the maximum allowed by law).
Expenses: If I need to purchase things like stock photos, plugins, fonts, or other tools for your project, I’ll let you know in advance and add those costs to your invoice.
Chargebacks: If there’s ever a billing concern, please talk to me—I don’t accept chargebacks.
5) Revisions & Changes
Unless otherwise stated, my projects include 2 rounds of revisions per deliverable.
Extra revisions or scope changes are billed at $125 per hour.
If I don’t hear back from you within 5 business days, I may pause your project and reschedule it.
6) What I Need From You
I’ll need you to:
Provide timely content, feedback, and approvals.
Make sure anything you give me (text, images, logos, testimonials) is accurate, legal, and licensed.
Assign one person to give me consolidated feedback (to avoid “too many cooks in the kitchen”).
Delays on your end will cause delays on mine.
7) Approvals
A project is considered approved when:
You’ve given me written approval, or
5 business days have passed without requested changes.
After approval, additional changes are treated as new work.
8) Ownership & Rights
Before final payment: I own all rights to the work.
After final payment: You get a license to use the final deliverables for your business as outlined in our Agreement.
What’s not included by default: My working files (like raw Canva, Image Generation Platform, Photoshop files) unless you purchase them.
Third-party tools/assets: Things like fonts, plugins, or stock photos have their own licenses—you’ll need to maintain those.
Portfolio rights: I may share the work in my portfolio, on my website, or on social media unless we agree in writing to keep it private.
9) Websites (if applicable)
I usually work with Squarespace and Showit—your Agreement will confirm the platform.
I design for current versions of modern browsers and common devices. Old browsers like Internet Explorer aren’t included.
I design with accessibility in mind, but can’t guarantee full legal compliance.
I’ll handle basic SEO best practices if included, but I don’t guarantee rankings.
Hosting, domains, and emails are your responsibility unless we agree otherwise.
Ongoing updates and support are not included unless you sign up for a maintenance plan.
10) Your Legal Responsibility
You are responsible for making sure your website and business comply with laws (like privacy policies, cookie notices, accessibility requirements, and taxes). I can help with design and setup, but I don’t provide legal advice.
11) Confidentiality
If you share private or sensitive info with me, I’ll keep it confidential, and I expect the same from you.
12) Warranties & Disclaimers
I promise to deliver services in a professional manner.
Other than that, the work is provided “as is.” I can’t promise your site will never have an error, downtime, or vulnerability (no one can).
13) Liability
If something goes wrong, my total liability is limited to the amount you paid me in the 3 months before the issue came up. I’m not responsible for lost profits, revenue, or data.
14) Indemnification
If someone makes a claim against me related to the content or materials you gave me, or how you use the work, you’ll cover any related costs or damages.
15) Pauses & Cancellations
If your project goes quiet for 15 business days, I may pause it and reschedule. A restart fee may apply.
Either of us can end the project with 7 days’ written notice. You’ll pay for all completed work, and deposits are non-refundable.
If either of us seriously breaks this agreement and doesn’t fix it within 10 days, the other can end it immediately.
16) Force Majeure
If something big and beyond our control happens (natural disasters, internet-wide outages, government actions, etc.), I’m not responsible for delays.
17) Legal Stuff
These Terms are governed by the laws of California, U.S.A.
If there’s ever a dispute, we’ll try to resolve it in good faith first. If that doesn’t work, it’ll go to mediation/arbitration in Lafayette, CA.
I’m an independent contractor, not your employee or business partner.
18) Entire Agreement
These Terms, plus your Agreement are the whole deal. They replace any previous conversations we may have had. I may update these Terms from time to time; if I do, they’ll be posted on my website and apply moving forward.
